Job Description

The position provides legal advice and support for general corporate matters and property and casualty insurance operations focused on retail sales, marketing and e-commerce.  This person will conduct legal research to evaluate complex or novel legal issues and complete written evaluations and make recommendations regarding regulatory, corporate and legal issues; monitor and report on relevant industry trends and new laws; support and approve development of marketing and advertising  materials and website content; draft and review contracts, NDAs, potential mergers and acquisitions transactions and asset purchase agreements.  This role may also assist with providing advice and counsel to other internal business partners such as claims, underwriting, or product.


  • Legal research and drafting written opinions and recommendations with a particular focus on sales and marketing, agency/broker operations and related matters
  • Draft contracts and other agreements for corporate business activities such as mergers and acquisitions
  • Provide advice and counsel for general retail agency/broker and independent agent operations
  • Provide advice and counsel for marketing, social media and e-commerce
  • Provide reporting and analysis on new laws, rules, regulations and court decisions and alert key staff regarding necessary changes and associated business impacts 
  • Review and approve marketing and advertising materials, social media, and e-commerce initiatives and content
  • Provide legal review of promotional and marketing events such as contests or drawings and draft associated rules, disclaimers and other required documents
  • Serve as a liaison between legal department and  other internal departments of company
  • Support legal processes and company policies
  • Other activities and duties as assigned


  • J.D. from accredited law school
  • Admitted to practice law in Tennessee or eligible for admission
  • 6-8 years law firm practice or in -house counsel position
  • Experience focused on sales, marketing and e-commerce
  • Experience drafting and reviewing contracts
  • Experience with mergers and acquisitions laws and requirements
  • Experience with advertising  and social media laws and requirements
  • Experience with insurance regulation and insurance agency/broker operations a plus
  • Attention to detail and ability to effectively organize and prioritize tasks
  • Ability to effectively provide legal analysis and recommendations and to draft other legal documents and correspondence
  • Ability to effectively communicate complex messages to diverse audiences, both verbally and in writing
  • Ability to establish rapport and effective working relationships with business partners, supervisors and peers
  • Demonstrated strong project management skills with ability to manage multiple projects and tight timelines
  • Proficient with Microsoft Office (Word, Excel and PowerPoint)
